2. Description of Services
Zenda Management provides AI-driven customer-engagement products and services for service-based businesses, including but not limited to AI voice answering, missed-call recovery, lead capture, appointment booking, and related deployment and consulting services. The Site itself is an informational marketing site through which you can learn about our services and request an introductory call.
Specific deliverables, fees, service levels, and other commercial terms are governed by separate written agreements (such as a Master Services Agreement, Statement of Work, or order form) executed between you and Zenda Financial LLC. These Terms do not, by themselves, create a service engagement.
3. Eligibility
The Services are intended for businesses and individuals at least 18 years old who are authorized to enter into a binding agreement on behalf of themselves or their organization. By using the Services, you represent that you meet these requirements.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose, or in violation of these Terms or applicable law
- Submit false, misleading, or fraudulent information through any form on the Site
- Use the Services to send unsolicited commercial communications (spam) or to violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or similar laws
- Reverse-engineer, decompile, scrape, or attempt to derive the source code of any part of the Services, except where such restriction is prohibited by law
- Interfere with or disrupt the integrity or performance of the Services or attempt to gain unauthorized access
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use any automated system (bot, crawler, scraper) to access the Services in a way that sends more requests to our servers than a human reasonably could in the same period
5. Communications & Consent
By providing your contact information through any form on the Site, you consent to receive communications from Zenda Financial LLC at the email address and (if you have separately opted in) the phone number you provided. SMS communications are governed by the SMS section of our Privacy Policy, including consent, frequency, opt-out (reply STOP), and HELP procedures.
6. Intellectual Property
6.1 Our IP
All content on the Site — including the Zenda Management name, the Zenda “Z” mark, logos, color palette, copy, graphics, illustrations, and underlying software — is owned by Zenda Financial LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own non-commercial informational purposes, subject to these Terms.
6.2 Your Content
If you submit any information, feedback, suggestions, or other content to us (collectively, “Submissions”), you grant Zenda Financial LLC a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, and distribute the Submissions for the purpose of providing and improving the Services. You represent that you have all necessary rights to make any such Submission.

ZENDA FINANCIAL LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
ANY PERFORMANCE STATEMENTS, METRICS, OR PROJECTIONS DESCRIBED ON THE SITE ARE ILLUSTRATIVE EXAMPLES BASED ON SPECIFIC ENGAGEMENTS AND DO NOT GUARANTEE ANY PARTICULAR OUTCOME, BOOKING RATE, ANSWER RATE, OR OTHER RESULT FOR YOUR BUSINESS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ZENDA FINANCIAL LLC, ITS AFFILIATES, OR ITS OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT, IF ANY, YOU HAVE PAID TO ZENDA FINANCIAL LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless Zenda Financial LLC and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) any Submission you provide; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without notice or cause, including if we believe you have violated these Terms. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive.
12. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms will be brought exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13. Changes to These Terms
We may revise these Terms from time to time. The revised Terms will be effective when posted on this page, and the “Effective Date” above will be updated. Your continued use of the Services after any change constitutes acceptance of the revised Terms.
14. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and any executed services agreement between you and Zenda Financial LLC, constitute the entire agreement between you and us regarding the Site and Services.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may freely assign these Terms.
